Terms of Service
These Terms govern your access to and use of Invoibase, our crypto invoicing platform for freelancers and agencies.
Effective date: August 21, 2026
1. Acceptance of Terms
By creating an account, issuing invoices, or using any Invoibase feature, you agree to these Terms and our Privacy Policy. If you are accepting on behalf of a company, you represent that you have authority to bind that entity.
2. The Service
Invoibase provides software tools to create USD-denominated invoices, collect payments via direct on-chain wallet transfers, and track settlement status. We may update, suspend, or discontinue features with reasonable notice where practicable.
3. Non-Custodial Payment Disclaimer
Invoibase is a non-custodial software platform. We do not hold, custody, or control your cryptocurrency, fiat, or client funds. Payments are processed via smart contracts and/or third-party payment gateways that settle directly between the payer's wallet and the payee's designated settlement address (and, where applicable, platform fee destinations configured by you or your plan).
Blockchain transactions are irreversible once confirmed. Invoibase is not a bank, money transmitter, escrow agent, or custodian. Network fees, gateway fees, slippage, and chain congestion are outside our control. You are solely responsible for verifying wallet addresses, networks, and invoice amounts before requesting or sending payment.
4. User Responsibilities & Acceptable Use
You agree to:
- Provide accurate business, client, and settlement wallet information.
- Comply with all applicable laws, including tax, sanctions, and anti-money-laundering rules in your jurisdiction.
- Keep credentials, API keys, and authenticator devices secure.
- Use Invoibase only for legitimate freelance or B2B invoicing and related commercial activity.
You must not:
- Use the platform for fraud, phishing, ransomware, or other illegal activity.
- Attempt to bypass security controls, rate limits, webhook signatures, or payment verification.
- Scrape, abuse, or overload Invoibase infrastructure or third-party gateways.
- Impersonate others, misrepresent invoice amounts, or process transactions you are not authorized to collect.
We may suspend or ban accounts that violate this Acceptable Use Policy, with or without prior notice when required to protect users or comply with law.
5. Accounts, Plans & Fees
Access may be subject to subscription plans or percentage-based platform fees disclosed in-product. Fee splits, if any, are executed by the payment gateway or smart-contract configuration at settlement time—not by Invoibase holding funds. You remain responsible for taxes on amounts you receive.
6. Disclaimers & Limitation of Liability
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, INVOIBASE IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR CRYPTOASSET LOSS ARISING FROM USE OF THE SERVICE, GATEWAY OUTAGES, CHAIN REORGS, OR USER ERROR. OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE FEES YOU PAID TO INVOIBASE IN THE THREE MONTHS PRECEDING THE CLAIM.
7. Termination
You may stop using Invoibase at any time. We may terminate or suspend access for breach of these Terms, security risk, or legal requirements. Provisions that by nature should survive (including disclaimers, liability limits, and non-custodial clauses) will survive termination.
8. Changes
We may revise these Terms. Material changes will be posted on this page with an updated effective date. Continued use after changes constitutes acceptance.
